Terms & Conditions of Sale, Service, Supplier Code of Conduct, and Employment.

Conditions of Sale.

All sales by MVT in Silico (the Company, we, us) to clients, customers, and partners, (the buyer, you) is subject to Terms and Conditions between the Company and the buyer as specified in a Written Agreement. The Written Agreement entered into by the buyer and the Company will specify binding Terms and Conditions of Sale for all parties.

The payment price, terms, method and schedule will be specified in the Written Agreement. The Company will invoice the buyer according to the payment schedule. The buyer will make payment according to the payment schedule. The Company may suspend or terminate services if the buyer fails to make payment according to the payment schedule. The Company may grant credit to the buyer at its discretion. The Company will charge interest on overdue payments at a predefined monthly rate of interest.

The Company provides warrenties on its services and products to you. The Company does not authorize third party warranties. The Company is not liable for any third party warranties. The Company is not liable for any warranty claims that are not made in accordance with the warranty terms specified in the Written Agreement. Service and product delivery, including quantity and delivery schedule, will be specified in the Written Agreement.

The Company will withold delivery of services and products if the buyer fails to make payment according to the payment schedule, or if the buyer breaches any other term of the Written Agreement. The Company may terminate the Written Agreement if the buyer breaches any term of the Written Agreement. The Company may terminate the Written Agreement if the buyer becomes insolvent, files for bankruptcy, or ceases operations. The Company may terminate the Written Agreement if the buyer engages in illegal activities or violates any applicable laws or regulations.

Expectations from Suppliers.

The Company expects its suppliers to comply with all applicable laws and regulations, including those related to labor, health and safety, and the environment. The Company expects its suppliers to adhere to ethical business practices, including fair labor practices, non-discrimination, and respect for human rights.

The Company expects its suppliers to maintain high standards of quality and reliability in their products and services. The Company expects its suppliers to communicate openly and transparently with the Company regarding any issues or concerns that may arise. The Company reserves the right to terminate relationships with suppliers that do not meet these expectations.

The Company is not responsible for any actions or omissions of its suppliers. The Company is not liable for any damages or losses resulting from the actions or omissions of its suppliers. The Company is not liable for any third party claims arising from the actions or omissions of its suppliers.

Employment by the Company.

The employment conditions for employees will be specified in an Employment Agreement between the Company and the employee. The Employment Agreement will specify the terms and conditions of employment, including job responsibilities, compensation, benefits, and termination conditions.
